NON-COMPETE AGREEMENT

For valuable consideration and as an inducement for _________________, to associate with ___________________________ as an Independent Contractor, the undersigned Independent Contractor agrees not to directly or indirectly compete with ________________________ during the period of the Independent Contractor Agreement and for a period of 1 year thereafter and notwithstanding the cause or reason for termination of the Independent Contractor Agreement.
The term “not compete” shall mean that the Independent Contractor shall not, on the Independent Contractor’s behalf or on behalf of any other party, solicit or seek the business of any customer or account of ________________________ existing during the term of the Independent Contractor Agreement and wherein said solicitation involves a product and/or service substantially similar to or competitive with any present or future product and/or service of ________________________. The Independent Contractor hereby acknowledges that ________________________, shall or may provide the Independent Contractor access to its customers, clients and accounts in reliance of this agreement, and that this agreement is reasonably necessary to protect ________________________. This agreement shall be binding upon and inure to the benefit of the parties, their heirs, assigns and personal representatives.
